These Terms of Service ("Terms") govern all engagements between All Set Vegas ("All Set Vegas," "we," "us," or "our") and the individual or entity purchasing, requesting, or utilizing services ("Client").
By checking the applicable acceptance box, submitting payment, signing an agreement, or otherwise expressly authorizing All Set Vegas to begin services after being provided access to these Terms, the Client acknowledges that the Client has read, understood, and agreed to be bound by these Terms.
If services are purchased on behalf of a group, the individual or entity purchasing the services is the Client and is responsible for communicating relevant logistical requirements and third-party provider rules to members of the Client's party.
All Set Vegas provides professional concierge, planning, advisory, itinerary development, reservation coordination, hospitality liaison, and logistical coordination services.
Services may include, without limitation:
The precise scope of each engagement may be established through an invoice, service description, written proposal, email, text message, booking page, or separate written agreement.
All Set Vegas acts solely as an independent concierge, planner, liaison, and strategic intermediary on behalf of the Client.
Unless expressly agreed otherwise in a separate written agreement, All Set Vegas does not own, operate, manage, supervise, employ, or exercise operational control over any venue, restaurant, nightclub, dayclub, hotel, transportation provider, entertainment provider, activity provider, ticketing provider, security provider, or other third-party business.
All final decisions regarding availability, reservations, admission, access, pricing, minimum spends, accommodations, upgrades, seating, table placement, dress-code enforcement, service execution, and venue operations remain within the discretion and control of the applicable third-party provider.
All Set Vegas provides professional planning, advisory, concierge, communication, recommendation, and coordination services.
All Set Vegas is not a travel carrier, transportation provider, venue operator, security company, medical provider, alcohol provider, activity operator, or insurer.
The Client's engagement of All Set Vegas does not create a fiduciary, custodial, supervisory, agency, employment, partnership, joint venture, or other relationship beyond the contractual provision of the services expressly agreed upon.
Nothing contained in an itinerary, recommendation, introduction, reservation, communication, or coordination effort shall be interpreted as All Set Vegas assuming operational responsibility for an independent third-party provider.
All Set Vegas may recommend, identify, introduce, communicate with, or assist in coordinating independent third-party providers based on professional experience, industry knowledge, Client preferences, and information reasonably available at the time.
A recommendation reflects All Set Vegas's professional opinion at the time it is made but does not constitute a representation, warranty, certification, or guarantee regarding a third-party provider's subsequent:
Third-party providers operate independently and remain responsible for their own premises, employees, contractors, vehicles, equipment, products, operations, services, policies, security procedures, safety practices, and business conduct.
All Set Vegas is not responsible for independently made acts, omissions, representations, decisions, negligence, misconduct, or failures of third-party providers that All Set Vegas does not own, employ, operate, or control.
All Set Vegas's services are professional, planning-based, advisory, coordination-based, and effort-based in nature.
Service fees compensate All Set Vegas for, among other things:
Services may be considered performed or fulfilled as the applicable work is completed, including through:
The performance of All Set Vegas's services is not contingent upon Client attendance, Client participation, travel completion, subjective satisfaction, or the performance of an independent third-party provider.
All Set Vegas uses commercially reasonable efforts to pursue Client requests but does not guarantee any particular outcome unless expressly confirmed by the party with authority to provide that outcome.
Requests may remain subject to:
All Set Vegas does not independently guarantee admission, reservations, table placement, seating location, upgrades, pricing, complimentary services, availability, service levels, celebrity appearances, special access, or any specific experience outcome.
A reservation or arrangement represented by All Set Vegas as confirmed is based upon confirmation received or information reasonably available to All Set Vegas at that time and remains subject to the operational authority of the applicable provider.
Unless expressly stated otherwise, All Set Vegas service fees compensate All Set Vegas for professional services and the allocation of time and resources.
Services may begin immediately following payment or authorization to proceed.
Because professional time, planning resources, research, communication, and coordination may be allocated immediately, service fees are generally non-refundable once services have commenced, except where otherwise expressly agreed in writing or required by applicable law.
The Client acknowledges that All Set Vegas's fees are separate from all amounts charged by third-party providers.
The Client agrees to contact All Set Vegas in good faith regarding any service concern before initiating a payment dispute or chargeback, without waiving any rights the Client may have under applicable law or the rules of the applicable payment network.
Unless expressly agreed otherwise in writing, all third-party expenses are the sole responsibility of the Client.

Unless expressly disclosed and agreed otherwise in writing, All Set Vegas does not collect, hold, or process Client funds on behalf of third-party providers.
Where the Client enters into an agreement or payment arrangement directly with a third-party provider, that transaction is governed by the third party's own terms, cancellation policies, refund policies, and operating procedures.
The Client agrees to provide complete and reasonably accurate information necessary for All Set Vegas to perform the requested services.
The Client and the Client's guests remain responsible for:
All Set Vegas shall not be responsible for losses or denied services resulting from inaccurate information supplied by the Client or the failure of the Client or a guest to satisfy a third-party provider's requirements.
Third-party reservations and arrangements may be affected by circumstances outside All Set Vegas's reasonable control, including:
All Set Vegas will use commercially reasonable efforts to communicate material changes known to us and, where appropriate and within the purchased scope of service, assist in identifying alternatives.
All Set Vegas does not guarantee that an equivalent alternative will be available.
A third-party provider's cancellation or operational change does not automatically entitle the Client to a refund of All Set Vegas's service fee for professional services already performed.
All Set Vegas may assist Clients in identifying, communicating with, recommending, or coordinating independently owned and operated transportation providers.
All Set Vegas is not a transportation carrier or transportation operator and does not itself provide transportation services.
All Set Vegas does not own, lease, operate, maintain, repair, inspect, or exercise operational control over vehicles or drivers supplied by independent third-party transportation providers.
Third-party transportation providers remain solely responsible for their vehicles, drivers, licensing, insurance, regulatory compliance, routes, safety, maintenance, operation, and performance.
Unless expressly agreed otherwise in writing, transportation agreements and payment obligations remain between the Client and the applicable transportation provider.
All Set Vegas does not guarantee the availability, punctuality, vehicle condition, conduct, or performance of an independent transportation provider.
All Set Vegas does not manufacture, distribute, sell, serve, furnish, or exercise control over the service of alcoholic beverages.
Alcoholic beverages consumed at third-party venues are sold and served under the authority and control of the applicable independently operated provider.
All decisions regarding whether to serve, refuse, or discontinue alcohol service remain the responsibility of the applicable provider.
Clients and their guests are responsible for their own alcohol consumption, conduct, decision-making, and compliance with applicable laws and venue policies.
Unless expressly contracted to provide a separate service, All Set Vegas does not undertake a duty to monitor, supervise, control, or determine the sobriety or fitness to travel of any Client or guest.
To the fullest extent permitted by applicable law, All Set Vegas shall not be responsible for consequences caused by the voluntary consumption of alcohol or intoxicating substances by a Client or guest, including denied entry, removal from a venue, personal conduct, or independently caused intoxication-related incidents.
All Set Vegas may recommend, identify, introduce, reserve, or assist in coordinating recreational activities, attractions, excursions, tours, entertainment experiences, driving experiences, shooting experiences, sporting activities, or other experiences operated by third parties.
All such activities are independently owned and operated by their respective providers.
All Set Vegas does not itself operate, supervise, instruct, train, inspect, maintain, or exercise operational control over the activity or its facilities, vehicles, equipment, personnel, or safety procedures.
Participation is voluntary and may be subject to separate provider requirements, waivers, releases, instructions, age restrictions, physical requirements, and safety procedures.
The Client and participating guests are responsible for determining their eligibility and ability to participate and for following all provider instructions and safety requirements.
The Client acknowledges that certain recreational or entertainment activities may involve inherent risks, including accidents, bodily injury, property damage, disability, or death.
To the extent permitted by applicable law, participants voluntarily assume the inherent risks associated with their voluntary participation in independently operated third-party activities.
All Set Vegas provides concierge and logistical services and does not assume custody, care, or control of Clients or their guests.
The presence of an All Set Vegas representative at a venue, activity, event, transportation pickup, or other portion of an itinerary does not, by itself, create a duty to supervise, monitor, guard, protect, or ensure the personal safety or conduct of a Client or guest.
All Set Vegas does not provide:
Clients remain responsible for their personal safety, personal property, decisions, conduct, and the supervision of any minors or other individuals for whom they are legally responsible.
In an emergency, Clients should contact the appropriate venue personnel, emergency services, law enforcement, or medical professionals.
The Client acknowledges that travel, dining, nightlife, entertainment, transportation, hospitality, recreational activities, and social environments may involve inherent and unforeseen risks.
Such risks may include, without limitation:
To the fullest extent permitted by applicable law, the Client voluntarily assumes the inherent risks associated with the Client's voluntary attendance at or participation in independently operated third-party venues, services, transportation, and activities.
Nothing in these Terms is intended to waive liability that cannot lawfully be waived.
All Set Vegas will use commercially reasonable efforts in providing professional services.
The Client acknowledges that concierge and planning services may depend upon rapidly changing availability, third-party information, provider communications, human judgment, and circumstances outside the reasonable control of All Set Vegas.
Information regarding pricing, availability, policies, schedules, venue operations, and third-party services may change after it is communicated.
All Set Vegas will not knowingly misrepresent a confirmed arrangement. If All Set Vegas becomes aware of a material error or change affecting an active engagement, All Set Vegas will use commercially reasonable efforts to communicate the issue and, when within the purchased scope of services, assist with reasonable alternatives.
To the fullest extent permitted by applicable law, All Set Vegas shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the engagement, including loss of profits, loss of business opportunity, loss of enjoyment, or consequential losses resulting from third-party provider actions.
All Set Vegas shall not be responsible for losses arising solely from the independently made acts, omissions, negligence, misconduct, operations, premises, vehicles, personnel, products, or services of third-party providers that All Set Vegas does not own, operate, employ, or control.
To the fullest extent permitted by applicable law, the aggregate liability of All Set Vegas arising from any single engagement, including claims alleging negligence, errors, or omissions in the performance of All Set Vegas's professional services, shall not exceed the service fees actually paid directly to All Set Vegas for the specific engagement giving rise to the claim.
The limitations contained in this section apply to the fullest extent permitted by applicable law and do not exclude or limit any liability that cannot legally be excluded or limited.
To the fullest extent permitted by applicable law, the Client agrees to indemnify and hold harmless All Set Vegas and its owners, employees, representatives, and contractors from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from:
This provision does not require the Client to indemnify All Set Vegas for liabilities that applicable law prohibits from being transferred or indemnified.
All Set Vegas maintains professional relationships with hospitality providers, venues, employees, security personnel, and other industry partners.
All Set Vegas reserves the right to suspend or terminate services when a Client or guest engages in threatening, abusive, discriminatory, violent, illegal, fraudulent, or materially disruptive conduct, or when continued performance would reasonably threaten the safety of any person or materially harm All Set Vegas's professional relationships.
If services are terminated because of such conduct, fees attributable to services already performed or resources already committed will remain earned to the extent permitted by applicable law.
The Client authorizes All Set Vegas to communicate through reasonable channels necessary to perform the engagement, including telephone, text message, email, and third-party messaging platforms.
All Set Vegas may communicate information reasonably necessary to coordinate requested services with relevant third-party providers.
Clients are responsible for monitoring communications during time-sensitive engagements.
All Set Vegas is not responsible for delays caused by the Client's failure to respond to time-sensitive communications.
All Set Vegas treats Client information and itinerary details as confidential and uses such information for legitimate business and service-coordination purposes.
All Set Vegas may disclose information reasonably necessary to coordinate requested services with third-party providers.
All Set Vegas does not publicly document or disclose private Client engagements for marketing or social-media purposes without authorization, except where disclosure is required by law or otherwise permitted under the applicable Privacy Policy.
The handling of personal information is additionally governed by the All Set Vegas Privacy Policy.
Unless otherwise agreed in writing, original itineraries, planning materials, frameworks, written recommendations, strategies, and proprietary planning content created by All Set Vegas remain the intellectual property of All Set Vegas.
Materials provided to the Client may be used for the Client's personal use in connection with the applicable engagement.
They may not be reproduced, republished, commercially distributed, resold, or represented as the work product of another party without prior written authorization from All Set Vegas.
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in effect to the extent legally permissible.
The failure of All Set Vegas to enforce any provision of these Terms on one occasion shall not constitute a waiver of the right to enforce that provision or any other provision in the future.
These Terms, together with any applicable service description, invoice, booking confirmation, written proposal, or separately executed Client Services Agreement, constitute the terms governing the applicable engagement.
If a separately executed written agreement expressly conflicts with these Terms, the expressly conflicting provision of the separately executed agreement shall control for that specific engagement.
These Terms and any dispute arising from the services provided by All Set Vegas shall be governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
To the extent permitted by applicable law, any legal action arising from or relating to these Terms or services provided by All Set Vegas shall be brought in a court of competent jurisdiction located in Clark County, Nevada.
By affirmatively checking the acceptance box presented during checkout, signing an applicable agreement, or otherwise expressly accepting these Terms, the Client acknowledges that the Client has:
The version of these Terms presented or linked to the Client at the time of acceptance shall govern the applicable engagement unless subsequently modified by mutual written agreement.
